1. The Publisher

This website is owned and operated by HEXAGONE, a simplified joint-stock company with a capital of 13,679.00 euros, registered with the Caen Trade and Companies Register under number 804461838 and whose registered office is located at 2 rue Jean Perrin, 14460 Colombelles, France ("Inject", "Schoolab", or "we").

2. Purpose

"Schoolab provides an innovation platform service accessible on the Website https://www.injecthq.com (the "Website"), which allows companies to facilitate the implementation and management of innovation programs."

3. Definitions

In this document,

  • "Account" means the account that must be created to become a Member and access the Services offered by the Website;
  • "Member" means any individual who has an Account on the Website;
  • "Community" means all Members of the Website;
  • "Deliverables" means all text or document content (such as presentations, videos, etc.) uploaded to the Website by Members;
  • "Services" means all content and products, services, features, technologies or functions that we provide via the Website; and
  • "Sponsor" means the company that operates the platform or submits an Innovation Program to Members via the Website.

4. Registration

A. Conditions

You must have authorization to bind your company. You must confirm that you have authorization to bind any company or entity on whose behalf you use our Services, and that said company or entity accepts these terms.

B. Creating an Account

The Website allows Members to consult innovation programs operated by Schoolab or the Sponsor, register for them, access events, access online training, access a collaborative workspace with Deliverables submission, interact with other Members, Sponsors or Schoolab through discussion forums, emails and online messages.

You can consult public Summaries and Innovation Programs if you are not registered, but you cannot register or participate in an Innovation Program without first opening an Account and becoming a Member.

To open your Account, you can either:

  • fill in the mandatory fields on the registration form (for example, your name, first name and email address). An activation link for your Account will be sent to you by email; your Account will be activated once you have clicked on this link;
  • or open an Account using the Single Sign-On system of your company (SSO), or the Authentication system of a social network such as LinkedIn or Google. By using this functionality, we will access and publish the personal data obtained from these platforms and retain them.

To open an account, you must have read and accepted these General Terms and Conditions of Use and our Privacy Policy.

C. Accuracy of Account Information

You agree that the Account associated with your profile contains accurate and truthful data, and that you will update it if necessary.

D. Password

You are responsible for maintaining the confidentiality of the password associated with your Account. You agree to inform us in case of unauthorized use of your Account or in case of security breach, such as loss or theft of your login information.

5. Services

The Website is a platform for managing innovation programs on which Sponsors can manage a community, manage innovation programs in which Members can participate, subject to the specific conditions of each Program as set out in the Program Regulations.

As a Member:

  • you can access a personalized space on the Website, which contains your profile, allows you to view the Innovation Programs you have registered for, and communicate and exchange messages, including by email and through messaging, with Members, Sponsors and Schoolab;
  • you can register for Innovation Programs, subject to meeting the conditions of the Innovation Program Regulations;
  • you can participate in an Innovation Program as an individual, as a representative of a commercial entity, or by forming or joining a team, as specified in the Innovation Program Regulations;
  • you can upload Deliverables to follow an Innovation Program, as specified in the Innovation Program Regulations;
  • you can extract the data and Deliverables you submitted during your participation in a given Innovation Program, as specified in the Innovation Program Regulations;
  • you can follow an online project training and support program;

Sponsors may award rewards for winning Deliverables submitted by Members registered to participate in an Innovation Program, in accordance with the Innovation Program Regulations.

It is solely the responsibility of Sponsors to evaluate all Deliverables and independently decide, according to their own criteria, the winner or winners of an Innovation Program. Decisions made by Sponsors are considered final.

6. Content you publish on the Website

You can communicate with other Members, Experts, Jurors, Managers via the Website. Any information you communicate on the Website, both during your registration and during your use of the Services (for example, postings on public discussion forums, emails, discussions, Deliverables, etc.), is subject to the following:

You agree that the content you publish will be accurate and will not (i) infringe or violate any copyright, trademark, patent or other property right or right to privacy of a third party, or (ii) violate any law (including export control laws, unfair competition laws, laws against discrimination or against false advertising).

Regarding Deliverables, you warrant that (i) you are the owner or authorized user of the intellectual property contained in your Deliverable and that (ii) you are not required to transfer the rights you have with respect to the Deliverable to a third party under an employment relationship or other contract; or that (iii) you have obtained any necessary authorization from your employer or co-contracting party before submitting the Deliverables. At any time, you may be required to provide legally binding warranties and representations to the Sponsor regarding a Deliverable or any specific information you submit.

You are solely responsible for the content you publish or download on the Website, as well as for the transfer of technologies or information you engage in. Schoolab expressly disclaims any liability in this regard.

7. Member conduct rules on the Website

Certain rules apply to Members.

When you use our Website, you agree:

  • not to submit to us, or submit to other Members, Mentors, Jury or Sponsors, erroneous, misleading, malicious or fraudulent information;
  • not to post content that is defamatory, offensive, obscene, pornographic, vulgar, offensive, aggressive, inappropriate, violent, threatening, harassing, racist or xenophobic, or content with sexual connotations, inciting violence, discrimination or hatred, encouraging illegal activities, or more generally, content contrary to morality or the purposes of the Website;
  • not to infringe Schoolab's rights and image, such as its intellectual property rights;
  • not to open more than one Account on the Website and not to open an Account on behalf of a third party;
  • not to use another Member's Account;
  • not to circumvent the Website, in particular by attempting to contact a Sponsor or send them your Deliverables outside of the Website;
  • not to transfer data containing viruses, worms, Trojans, or any computer file or program that may disrupt, destroy or limit the operation of any computer or network directly or indirectly related to the Website;
  • not to use any device, software or routine that may disrupt the proper functioning of the Website or that is intended to damage, disrupt, intercept or expropriate any system, data or personal information;
  • not to take any action (such as sending spam) that imposes an unreasonable burden on our Website;
  • not to violate the principle of confidentiality that may exist within an Innovation Program; and more generally, not to act in any way that violates the law or these General Terms and Conditions of Use.

8. Confidentiality in the context of an Innovation Program, you may be required to maintain the confidentiality of certain information.

You agree to defend, indemnify and hold Schoolab harmless from all claims, lawsuits or demands, liabilities and settlements, including but not limited to reasonable attorneys' fees, arising from your unauthorized disclosure of confidential information.

9. Intellectual Property Rights

A. Grant of License to Schoolab by Members

For the purpose of our Website and to enable the Services, you grant Schoolab a non-exclusive, free, and international license for the duration of the contractual relationship between us, allowing it to use the content and data you submit on the Website.

In particular, you authorize us to display, distribute, publish, reproduce, represent, adapt, use, and translate any content you provide, to disseminate it via the Website and through any other communication protocol, and to communicate it to the public, to the Community, and to the Sponsors.

B. IP Rights/Limited License of Schoolab

This Website is controlled and operated by Schoolab. Our proprietary software and media contained on the Website, including logos, trademarks, trade names, and images, text, illustrations, audio and video files, as well as the selection, coordination, and arrangement of such media, are protected by copyright, trademarks, service marks, or other proprietary rights held either by us or by other parties who have licensed their intellectual property to us, and all other trademarks, service marks, and trade names used on the Website are the property of their respective owners.

Subject to your being a Member, Schoolab grants you a non-exclusive, revocable, personal, and non-transferable license to use the Website, so that you can use it for personal and private purposes, for non-commercial purposes, and to serve the purposes of the Website.

You are prohibited from making any other use or exploitation of the Website and the Services, as well as their content, without the prior written authorization of Schoolab. You are in particular prohibited from:

  • reproducing, adapting, distributing, publicly representing, and communicating the Website, the Services, the Resumés, the Innovation Programs, and the content of the Website;
  • extracting or attempting to extract (notably using data extraction robots or any other similar data collection tool) a large part of the data from the Website;
  • reproducing, modifying, or attempting to discover any source code, creating a derivative work from it, or submitting it to engineering or reverse assembly;
  • modifying or attempting to modify the Website in any way or form, unless you have the right to modify the content that you have generated yourself on the Website;
  • framing or using framing techniques to include any trademark, logo, or other proprietary information (including descriptions of Innovation Programs, images, text, layout, or form);
  • using any meta tag or any other "hidden text" associated with the name or trademarks of Schoolab.

Any unauthorized use on your part that violates the above terminates the license we have granted you.

All new versions, updates, or modifications of our Website, Services, or associated content will be subject to these General Terms and Conditions of Use. Schoolab reserves all rights not expressly granted by these General Terms and Conditions of Use.

C. Recourse

If you believe that the introduction of certain content on the Website has infringed your legitimate intellectual property rights, you must inform Schoolab immediately and provide us with the following:

  • Your contact information. If you submit the claim on behalf of a third party, please provide proof of your right to represent that third party;
  • Identification of the content on the Website in question, which you believe is protected by intellectual property rights, as well as its location on the Website (indicating the URL link);
  • Attribution of the aforementioned intellectual property rights; as well as the grounds for the alleged violation.

10. Role of Schoolab/Limitation of Liability

Schoolab exercises no control over the behavior of Members, Sponsors, Experts, Jurors, or other users of its Website. We do not control the information communicated by others and made available through the Website; the information of any other user may be inaccurate.

By accepting these General Terms and Conditions of Use, you acknowledge that Schoolab does not in any way control the nature, quality, legality, and schedule of Innovation Programs. You agree that the platform Inject, as an intermediary, does not offer any Innovation Programs and is not a party to any agreement you have entered into with the Sponsor in connection with an Innovation Program.

Schoolab exercises no control over the acts or omissions of Sponsors, or over the quality, accuracy, or legality of Resumés or Innovation Programs, and disclaims any liability in this regard. We do not endorse any Sponsor. Members act under their sole and entire responsibility. As an intermediary, Inject cannot be held responsible if an Innovation Program does not take place as planned, for example due to:

  • erroneous information communicated by the Sponsor in its Resumé or in connection with an Innovation Program, or by any other means, with respect to the Innovation Program and its conditions;
  • cancellation or modification of an Innovation Program by a Sponsor;
  • non-payment of the price or reward by a Sponsor;
  • the behavior of its Members during, before, or after an Innovation Program, or at any other time.

We disclaim all liability for the content or use of any Deliverable, for a Member's failure in an Innovation Program, for any harm caused by Sponsors to a Member, and for any indirect harm such as financial loss, loss of business, or moral harm that a Member may suffer from using the Website or participating in an Innovation Program.

You agree to submit any claim you may wish to make regarding information communicated by the Sponsor solely to the Sponsor. If you have a dispute with another Member, you must inform Schoolab of all claims, whatever their nature, resulting from that dispute.

Schoolab shall not be liable to you for any claim or damages, expenses, or other costs that you incur or suffer as a result of third-party claims related to your use of the Services. In no event shall Schoolab be liable for any indirect harm, or for any harm, assuming that such harm has been duly proved. You agree that it shall be your responsibility to defend, and that you will defend Schoolab at its request against any third-party claims resulting from information that you communicate to Schoolab for publication, or resulting from any violation of these General Terms and Conditions of Use that you have committed.

You agree that notwithstanding any text of law or any law to the contrary, any claim or cause of action arising out of your use of the Services must be filed within one (1) year after such claim has been made or such cause of action has arisen, failing which it shall be definitively prescribed.

11. Suspension and Termination of Your Account, and Limitations on Access to It

You may terminate the contractual relationship between you and Schoolab and close your Account at any time by contacting Schoolab at support@theschoolab.com. The termination will take effect immediately.

If you fail to comply with your obligations as set forth in these General Terms and Conditions of Use, or if you have a valid reason to believe that the security and integrity of Schoolab, its Members, Sponsors, or third parties are threatened, we reserve the right to: terminate immediately these General Terms and Conditions of Use that bind you and Schoolab; and temporarily or permanently suspend your Account.

If applicable, you will be informed of such a measure, so that you can react to it. Schoolab will decide, at its sole discretion, whether to lift the measures taken.

12. Personal Data. We collect and process certain of your personal data.

By using the Website and registering as a Member, you acknowledge and accept the processing we do of your personal data in the manner set forth in our Privacy Policy.

13. Operation, Availability, and Functionality of the Platform

We will make every effort to ensure that the Website is constantly accessible, 24 hours a day, 7 days a week. However, access to the Website or the use of certain features may be suspended or interrupted without notice, due to technical maintenance, migration or updates, or due to network failures or constraints, or for other technical reasons.

We reserve the right to modify or suspend all or part of your access to the Website or its features, at our sole discretion, temporarily or permanently.

14. Hyperlinks

Our Website contains links to other websites. We do not control these websites and disclaim any responsibility for their content. By including these links, we do not endorse the content on these websites or imply any association with their operators.

15. Modification of the General Terms and Conditions of Use

These General Terms and Conditions of Use and the documents incorporated herein by reference constitute the entire agreement between you and Schoolab regarding your use of the Website and the Services.

Schoolab may modify these General Terms and Conditions of Use to adapt them to its technological and commercial environment and to comply with the law. Any modification to these General Terms and Conditions of Use will be published on the Website, indicating the effective date, and Schoolab will inform you before the modifications take effect.

16. Applicable Law and Dispute Resolution

These General Terms and Conditions of Use are governed by French law and interpreted in accordance with it, without regard to any principle of conflict of laws. Any dispute relating to the performance or interpretation of these General Terms and Conditions of Use is exclusively within the jurisdiction of the Commercial Court of Caen.
